Both schemes require adherence to specific rules to ensure that investors can claim and retain their
tax reliefs.
The shares issued must be:
- Fully Paid-Up: In cash and on issue.
- Ordinary Shares: They must be full-risk, not redeemable, and carry no special rights to
assets.
Risk-to-Capital Condition
HMRC mandates that the investment must genuinely be at risk, meaning:
- Business Growth: The funds must be used for the growth and development of your construction
business.
- Investor Risk: The investment should involve a real risk to the investors' capital.
Scheme Details
SEIS:
- Maximum Investment: £250,000, inclusive of other state aids within three years.
EIS:
- /strong>Maximum Annual Raise: £5 million.
- Lifetime Maximum: £12 million, including amounts raised under other schemes.
- Investment Timing: Must be within seven years of the first commercial sale, with extended limits for knowledge-intensive companies.
Compliance
